The Procedure for Opening a Token in the BVI in 2024

The country’s Financial Services Commission (FSC) has established strict legal requirements for launching tokens in the British Virgin Islands (BVI) in 2024. Registration of your venture in the BVIs is the first. Then, there are some costs that need to be paid in order to get a Virtual Asset Service Provider (VASP) permit, i.e. the exact kind of license required to launch a token. The approximate fees are $10,000 for services related to Virtual Assets Custody or Virtual Assets Exchange and $5,000 for any other cryptocurrency-related operations. Also, in order to communicate with the FSC, it is necessary to designate an Authorized Representative.  A detailed business strategy and a chart showing the ownership structure are both required pieces of corporate paperwork. The minimum amount of capital is not specified, although it is assumed to be adequate. The board of directors must have the necessary abilities, and the organization must have strong rules in place concerning cybersecurity, risk management, consumer protection, and technology audits. In addition, the FSC may demand that you have professional indemnity insurance and a designated AML officer.

There’s a number, so a more in-depth explanation is needed. Tokens are not considered an “investment” for the purposes of the Securities and Investment Business Act of 2010 (SIBA) unless they exhibit characteristics typical of derivatives connected to other assets/companies. There is thus no need to acquire a FSC investment company license for the majority of token offers. Token structuring is crucial for prospective issuers to avoid unforeseen regulatory coverage. 

Although regulated firms are subject to the BVI’s Anti-Money Laundering (AML) rules, basic utility tokens are generally not considered to be part of this group. Token sales are not considered a form of fiat money under the Financial Markets Security Act of 2009 (FMSA). Also, although tokens are similar to securities, the BOSS Act of 2017 (which mandates beneficial ownership disclosure) usually does not apply. Moreover, virtual asset issuers in the BVI are not required, in some very specific cases, to disclose in order to comply with FATCA (Foreign Account Tax Compliance Act) and CRS (Common Reporting Standard).

What Types of Tokens Are Permissible to Issue in the BVI, and What Are Their Classifications? 

The VASP Act applies universally to all virtual assets, including payment, governance, and non-fungible tokens. The main thing to think about, even before applying for a BVI crypto license, is whether or not your token is considered a security.

There is a three-step procedure that a business must go through. Stage 1 involves incorporating a company in approximately 2 weeks with no minimum share capital requirement, local office, or personnel mandate. An authorized representative and a Money Laundering Reporting Officer recognized by the FSC are then appointed during Stage 2, which lasts for one to three months and involves preparing the VASP license application. This includes creating AML-KYC procedures, building software infrastructure, and more.

During Stage 3, which lasts for around four months, the applicant must:

  1. Demonstrate financial dependability;
  2. Offer a comprehensive business plan;
  3. Outline the frameworks for governance and transactions;
  4. File an application to the Financial Services Commission.

Are There Any Tax Implications for Issuing Tokens in the BVI? 

Token sales are often exempt from taxes on corporate, dividend, capital gain, and non-domestic income. With a flat rate of zero percent for all of these types of taxes, the BVI is a great place for foreign businesses to set up shop, especially those dealing with token sales and cryptocurrencies. Government license fees, however, are an annual requirement that businesses must meet; these costs are size- and activity-specific. Of course, companies should be on the lookout for any indirect taxes and penalties.

What are the Best Practices for Compliance with Anti-Money Laundering Regulations?

Entities must follow strict procedures to comply with the national and international AML legislation. This involves maintaining thorough records, reporting questionable activity immediately, and guaranteeing strong customer identification processes, among others. Although the issuance of standard utility tokens typically falls outside regulated business definitions, issuers must remain vigilant against potential misuse for money laundering. Set up thorough systems of internal controls and risk management that are specific to crypto transactions. Maintain up-to-date rules in line with changing regulatory requirements and do comprehensive due diligence on all parties involved in transactions. 

How Can Token Issuers Ensure the Security and Integrity of Their Token Offerings in the BVI?

There are a number of important steps that can be taken. For starters, issuers need to encrypt data and store digital assets securely. It is critical to do comprehensive audits of smart contracts in order to find and fix problems in a timely fashion. In order to reduce the likelihood of fraud and prevent unauthorized access, issuers should also implement thorough user verification procedures. The importance of keeping stakeholders informed about security measures and dangers cannot be overstated. 

What Are the Benefits and Challenges of Choosing the BVI as a Jurisdiction for Token Issuance?

There are a number of advantages, one of which is an advantageous tax system that does not apply to corporate income, dividends, capital gains, or income received outside of the BVI. There are few regulatory hurdles for regular utility token issuance in this country, and its strong legal structure encourages foreign capital inflow, including cryptocurrency operations. Although the majority of tokens do not fall under any regulated company categories, there are still small inconveniences to keep in mind, including meeting the requirements of anti-money laundering laws. It is also essential to keep an eye on any changes to regulations and be open and honest about how things are running. Even with all these obstacles, firms looking to launch token offerings in a stable offshore jurisdiction are still drawn to the BVI.
